Partner & Qr Activation Agreement

Terms for businesses, venues, and brands partnering with AIY

  1. Overview

This Partner & QR Activation Agreement ("Partner Agreement") governs the terms under which a business, venue, brand, or organization ("Partner," "you") may participate in activations, QR code placements, scavenger hunts, sponsored challenges, and other real-world or branded experiences through the AIY Creative Operating System operated by Art Is Yummy, LLC ("AIY," "we," "us").

This is a B2B agreement. By activating any Partnership feature, you confirm that you have the authority to bind your organization to these terms.

  1. Partnership Types

QR Code Placement: hosting AIY QR codes at your physical location for scanning, rewards, and discovery

Scavenger Hunt Participation: serving as a stop, clue location, or prize point in Platform scavenger hunts

Sponsored Challenges: funding or co-creating challenges, competitions, or events on the Platform

Branded Activations: co-branded experiences integrating your brand with AIY Platform features

Local Discovery: listing in AIY's local recommendation and discovery features

  1. Partner Obligations

Maintain a safe, accessible, and legal physical environment at all locations used in activations

Ensure all activation materials (QR codes, signage, promotional materials) are displayed properly and not defaced or obscured

Comply with all applicable local, state, and federal laws, including health, safety, and accessibility requirements

Not misrepresent your affiliation with or endorsement by AIY

Promptly notify AIY of any incident, complaint, or safety concern related to an activation

Maintain appropriate business insurance, including general liability insurance with minimum coverage of [BUSINESS DECISION REQUIRED: $1M/$2M]

Not collect personal data from AIY users at activation locations without separate, independent consent

  1. AIY Obligations

Provide activation materials (QR codes, digital assets, setup instructions) in a timely manner

Maintain the Platform systems necessary for activation functionality

Provide reasonable technical support for activation setup and operation

Process and fulfill any Platform-side rewards associated with activations

Remove or update activation content within a reasonable timeframe upon Partner request or partnership termination

  1. Data Handling

5.1 User Data

When users interact with Partner activations, AIY collects interaction data (scan events, timestamps, engagement metrics). This data belongs to AIY. Partners receive:

Aggregate, anonymized engagement metrics (e.g., number of scans, time periods, completion rates)

No personally identifiable information about individual users

No location data that could identify individual users

Partners may not attempt to identify individual users from aggregate data.

5.2 Partner Data

AIY collects and stores Partner business information (business name, contact details, location data, activation configurations) for the purpose of operating the Partnership. This data is handled per our Privacy Policy.

  1. Intellectual Property

6.1 Aiy Ip

AIY retains all rights in the Platform, QR system, activation technology, and AIY branding. Partner receives a limited, non-exclusive, revocable license to display AIY activation materials at approved locations during the partnership term.

6.2 Partner IP

Partner retains all rights in its brand, logos, and content. Partner grants AIY a limited, non-exclusive license to display Partner branding within activation surfaces on the Platform and in promotional materials during the partnership term.

6.3 Co-Created Content

Content co-created for activations (challenge designs, scavenger hunt narratives, branded experiences) is jointly owned unless otherwise specified in a separate creative brief. Either party may use co-created content with attribution.

  1. Rewards and Fulfillment

If an activation involves rewards, offers, or prizes:

Platform-side rewards (FP, Bread, Crumbs, digital items): funded and fulfilled by AIY unless otherwise agreed

Partner-side rewards (discounts, physical prizes, vouchers): funded and fulfilled by Partner. Partner is solely responsible for honoring any offer or prize made available through an activation

AIY is not liable for Partner's failure to fulfill partner-side rewards

  1. Liability and Indemnification

8.1 Assumption of Risk

Real-world activations involve inherent risks. AIY is not responsible for: conditions at Partner locations; interactions between users and Partner staff; physical injuries or property damage at activation locations; or Partner's compliance with local regulations.

8.2 Partner Indemnification

Partner agrees to indemnify, defend, and hold harmless AIY from any claims, damages, costs, and expenses arising from: conditions at Partner locations; Partner's products, services, or conduct; Partner's violation of this Agreement or applicable law; any injury, death, or property damage occurring at Partner locations during activations; and Partner's failure to fulfill partner-side rewards.

8.3 AIY Indemnification

AIY agrees to indemnify Partner from claims arising from: AIY's Platform technology causing direct harm to Partner's systems; and AIY's gross negligence or willful misconduct.

  1. Term and Termination

This Agreement is effective upon activation of any Partnership feature and continues until terminated. Either party may terminate with 30 days' written notice. AIY may terminate immediately for Partner's breach or safety concerns.

Upon termination: all activation materials must be removed from Partner locations within 14 days; outstanding partner-side rewards must still be honored; AIY removes Partner content from the Platform within a reasonable timeframe; and aggregate data from the partnership may be retained by AIY for analytics.

  1. No Agency

Nothing in this Agreement creates an agency, partnership, joint venture, or employment relationship between the parties.
